Terms of Service

These terms set out the core rules for using Tooleasing as an online marketplace for tools, equipment, and related services.

1. Scope and Platform Operator

These Terms of Service apply to anyone who accesses or uses Tooleasing. References to "Tooleasing", "we", "our", or "us" mean Tooleasing. By using Tooleasing, you agree to these terms.

2. Marketplace Role

Tooleasing provides a platform where private and business suppliers can publish listings and where users can request rentals or operator-led services. Unless expressly stated otherwise, Tooleasing does not become the owner, lessor, manufacturer, employer, or physical operator of the listed item or service, and Tooleasing is not itself a party to the underlying rental agreement between renter and supplier. The supplier remains responsible for listing accuracy, the condition of the item or service, and the performance of the rental.

3. Accounts, Eligibility, and Seller Status

  • You must provide accurate account and contact details and keep them current.
  • You are responsible for activity under your account.
  • You may not impersonate another person or business.
  • If you list as a business or trader, you must declare that status honestly and provide any required business information.
  • You may use Tooleasing only if you are legally able to enter into binding agreements.
  • You must be at least 18 years old to create an account, make a booking, or publish a listing.

4. Listings, Safety, and Compliance

Suppliers must:

  • describe items and services accurately, including condition, accessories, location, price, availability, and known limitations;
  • list only items or services they are legally entitled to rent out or perform;
  • ensure listings are not misleading, unsafe, or unlawful;
  • provide any required business, safety, or compliance information honestly.

Prohibited listings include:

  • illegal, prohibited, counterfeit, or intentionally misrepresented items;
  • listings that create clear safety or compliance risks for users or third parties;
  • use of Tooleasing to mislead consumers, business customers, or the platform.

5. Ranking, Search Results, and Promoted Listings

Browse results on Tooleasing are generally ordered using factors such as relevance to the search, category and filter match, availability, location, and listing quality. Tooleasing does not need to disclose the exact operation of its algorithms, but it aims to describe the main ranking parameters in plain language.

  • Paid placements may appear higher when they still match the search and active filters.
  • Promoted or paid placements must be visibly labeled.
  • Promotion never exempts a listing from moderation, safety, or quality requirements.

6. Requests, Acceptance, and Payment

  • Sending a request does not guarantee a booking.
  • The supplier may accept or reject a request.
  • After acceptance, the payer must complete checkout before the rental, service, or promotion becomes active.
  • Displayed totals may include rental price, operator service, service fee, promotion fee, and any refundable deposit.
  • The Tooleasing service fee is currently 15% of the relevant booking amount, with a minimum of EUR 2, unless a specific flow or promotion expressly states otherwise.
  • Tooleasing service fees and promotion fees are shown before payment.
  • Any separate promotion fees or other optional paid platform services are shown in the relevant flow before the user confirms them.

7. Deposits, Cancellations, Refunds, and Payment Adjustments

Some listings use a refundable deposit to support trust and damage handling. Deposit logic depends on the type of booking and the rental or service state.

  • The supplier remains in principle primarily responsible for cancellation decisions, rental or service performance, and refunds owed under the underlying rental agreement, subject to mandatory law.
  • Tooleasing may operationally process refunds, payout holds, transfer reversals, offsets, or other payment adjustments through the payment provider where needed for platform administration, a cancellation, a dispute, a legal obligation, or fraud prevention.
  • If Tooleasing refunds or credits a renter, or incurs fees, chargebacks, penalties, losses, or other costs because of a supplier-side issue, breach, unsafe listing, or inaccurate supplier information, Tooleasing may recover those amounts from the supplier, including by setting them off against future payouts or reversing transfers where legally and contractually permitted.
  • If a paid booking is cancelled before handover, Tooleasing may start a refund through the payment provider.
  • An accepted request must be paid within 24 hours. After that, the booking may expire automatically and the dates may become available again.
  • A renter may cancel a paid booking online until 24 hours before it begins. After that point, support must review the circumstances. A supplier cancellation before handover will in principle receive a full renter refund, subject to mandatory law.
  • On a clean completion, any refundable deposit may be returned according to the platform flow.
  • If Tooleasing approves a return issue involving damage, missing accessories, loss, theft, or failure to return the item, the full refundable deposit may be retained and included in the supplier payout, subject to mandatory law and the evidence available.
  • If a documented and approved loss exceeds the full deposit, Tooleasing may provide a separate payment-request flow for the additional approved amount. The deposit is not insurance and does not cap the renter's liability where the rental agreement or mandatory law provides otherwise.
  • If Tooleasing rejects a supplier-side claim or identifies a false claim, the refundable deposit may be released back to the renter in full.
  • Operator-led services may run without a deposit when the supplier keeps control of the equipment.
  • Payment-provider processing times can affect when refunded amounts appear.

8. Use, Pickup, Handover, Return, and Operator Services

  • Renters must use items lawfully, carefully, and in line with manuals, safety instructions, and any required permits, certifications, or qualifications.
  • Renters may not sub-rent, lend, transfer, or use items for clearly unsafe or prohibited purposes without supplier approval.
  • Renters must stop using an item immediately and notify the supplier if it appears unsafe, defective, or unfit for use.
  • Extension requests must be submitted at least 12 hours before the booked return date and remain subject to supplier approval.
  • A late return may, to the extent allowed by the rental agreement and applicable law, lead to extra rental days, service fees, issue review, deposit retention, or account measures.
  • Pickup at the supplier location is the default method unless the supplier expressly allows a meet-up option and the renter selects it.
  • Public listings show only the city and available pickup options. Exact addresses, meet-up details, and additional pickup instructions are shown only after the request is accepted and payment is complete.
  • Handover and return form part of the documented rental record.
  • Condition reports, photos, timestamps, and handover verification may be used to assess issues or damage.
  • Rental chat messages form part of the booking record and may be retained and reviewed by Tooleasing where needed for support, safety, disputes, fraud review, legal compliance, or enforcement of these terms.
  • The rental chat is for practical coordination about pickup, return, timing, and the booking. Damage, missing accessories, loss, theft, or other formal issues must still be documented through condition reports, photos, support, or issue reports.
  • Renters remain responsible, to the extent set out in the rental agreement or mandatory law, for loss, theft, misuse, improper transport, missing accessories, and damage beyond normal wear.
  • In the event of loss or theft, renters must notify the supplier and Tooleasing immediately and reasonably cooperate with any incident review, including sharing a police report or case reference where appropriate.
  • Where a listing is booked with an operator, a different workflow may apply from self-rental because the supplier remains in control of the equipment.

9. Prohibited Conduct

  • fraud, deception, payment abuse, or manipulation of platform records;
  • harassment, threats, intimidation, or abusive behaviour toward users or staff;
  • using rental chat for spam, off-platform payments, payment-flow bypassing, misleading claims, or hiding relevant rental issues;
  • attempts to bypass moderation, payment flow, safety controls, or platform restrictions;
  • use of Tooleasing for illegal or clearly unsafe purposes.

10. Moderation, Suspension, and Fairness for Business Users

Tooleasing may reject listings, remove content, stop promotions, restrict access, or suspend accounts where needed for safety, fraud review, legal compliance, or enforcement of these terms.

  • Business users must provide fair and complete information about their business and offers.
  • Where applicable to business users under EU platform rules, Tooleasing may provide reasons for restriction, suspension, or termination.
  • Business users may direct questions or complaints about platform decisions to info@tooleasing.nl.
  • Material changes to these terms may be communicated in advance where required by applicable law.

11. EU and Dutch Consumer-Law Notice

When a consumer contracts through Tooleasing with a business or trader, mandatory EU and Dutch consumer-law rules may apply, including rules on transparency, pre-contract information, and unfair commercial practices. Whether a supplier acts as a trader or a private user can therefore matter for the customer's rights. Tooleasing may rely on supplier declarations and additional compliance information to determine that status. Any consumer rights that apply under mandatory law are not waived by these terms.

12. Indemnity, Payout Adjustments, and Recovery

  • Suppliers must indemnify Tooleasing, its affiliates, and personnel against reasonable claims, losses, fines, costs, and damages arising from inaccurate listings, unsafe items or services, injury or property damage, third-party rights violations, legal non-compliance, or other supplier-side breaches.
  • Tooleasing may withhold, delay, set off, reduce, recover, or reverse payouts where reasonably required for refunds, disputes, chargebacks, incident review, safety issues, compliance review, tax or legal obligations, or correction of an error.
  • Users must reasonably cooperate with Tooleasing requests for information, documents, or evidence when investigating an incident, safety report, refund, chargeback, or dispute.
  • Where Tooleasing suspects theft, fraud, or other unlawful or criminal activity by a renter, supplier, or other user, Tooleasing may preserve relevant account, booking, payment, and communication records, including rental chat messages, and, to the extent legally permitted or required, share those details with police or other competent authorities for reporting, follow-up, or investigation.

13. Liability

Tooleasing provides the marketplace and supporting workflows, but does not guarantee that every listing is fit for a specific purpose or fully free from defects. To the maximum extent permitted by law, Tooleasing is not liable for indirect, incidental, or consequential loss arising from listing use, failed transactions, user conduct, or disputes between users. Tooleasing is also not responsible, to the extent permitted by law, for theft, fraud, or other unlawful or criminal acts committed by renters, suppliers, or other users. In those situations, Tooleasing may restrict the account, preserve relevant records, and share the relevant details with police or other competent authorities, after which further investigation is for those authorities. Claims about listing content, physical condition, damage during use, or rental performance should in principle be directed to the supplier unless mandatory law makes Tooleasing directly responsible. Nothing in these terms excludes liability where exclusion is not permitted by law.

14. Governing Law and Contact

These terms must be read alongside any mandatory law that applies to consumers, platform services, and data processing. For support or legal questions, contact info@tooleasing.nl. These terms are governed by the laws of the Netherlands. Where mandatory law does not require otherwise, disputes may be brought before the competent courts of the Netherlands.
